1) Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of https://qtechnetworks.com/jo (the “Site”) and any products or services offered by QTech (“QTech,” “we,” “us,” or “our”). By accessing or using the Site or services, you agree to be bound by these Terms.
2) Definitions
“Services” means professional and managed services we provide (e.g., web/app development, hosting, digital strategy). “SOW” means a statement of work, order form, or proposal executed by both parties describing specific Services, deliverables, fees, and timelines.
3) Changes to Terms
We may update these Terms from time to time. The “Effective date” above reflects the latest version. Continued use of the Site or Services after changes means you accept the updated Terms.
4) Eligibility & Accounts
- You must be at least the age of majority in your jurisdiction to use the Site.
- You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.
- Provide accurate, current, and complete information and update it as necessary.
5) Services; Orders & SOWs
- Services are described in the applicable SOW, proposal, or order form. If there is a conflict, the SOW controls.
- Estimates are based on information available at the time; changes in scope may require change orders and adjusted fees/timelines.
- Unless otherwise stated, delivery timelines are indicative and not guaranteed.
6) Fees, Payments & Taxes
- Fees will be as stated in the applicable SOW or invoice. Prices are exclusive of taxes, duties, and government charges.
- Invoices are payable within 7 days of invoice date unless otherwise agreed.
- We may suspend Services for non‑payment after reasonable notice.
- Currency: Jordanian Dinar (JOD) unless specified otherwise.
7) Deliverables & Intellectual Property
- Upon full and final payment, and unless stated otherwise in the SOW, QTech grants you a non‑exclusive, worldwide, perpetual license to use the deliverables for your internal business purposes.
- QTech retains ownership of its pre‑existing materials, know‑how, tools, and reusable components (including templates and libraries). We may re‑use generalized learnings and non‑confidential know‑how.
- Open‑source and third‑party components remain subject to their respective licenses.
8) Client Materials & Responsibilities
- You will provide timely access to information, approvals, and materials needed to deliver the Services.
- You represent that you have the necessary rights to all Client Materials you provide and that they do not infringe any rights or violate laws.
- You are responsible for legal review of content that you ask us to publish or host.
9) Acceptable Use (Hosting/Infrastructure)
- No illegal content, malware, spam, abusive traffic, or activities that could disrupt networks/services.
- No attempts to gain unauthorized access to systems or data.
- Resource limits (bandwidth, storage, compute) may apply as per your hosting plan or SOW.
- We may remove or disable content or suspend Services if we reasonably believe these Terms are violated.
10) Service Levels, Maintenance & Third Parties
- Unless specified in an SOW, Services are provided without uptime guarantees.
- We may perform planned maintenance and emergency work; reasonable efforts will be made to minimize disruption.
- Some Services rely on third‑party providers (e.g., cloud, domain registrars, payment processors). Their terms may apply in addition to ours.
11) Confidentiality & Publicity
- Each party agrees to protect the other’s confidential information and use it only for the purpose of performing the agreement.
- Unless otherwise agreed, QTech may identify you as a client and display non‑sensitive project information (e.g., name, logo, general description) in portfolios and case studies.
12) Data Protection
- Our Privacy Policy explains how we handle personal data.
13) Warranties & Disclaimers
- Each party represents it has the authority to enter into the agreement.
- EXCEPT AS EXPRESSLY PROVIDED IN AN SOW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
14) Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, QTECH IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS/REVENUE/GOODWILL.
- QTECH’S TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO QTECH FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited by law.
15) Indemnification
You agree to defend, indemnify, and hold harmless QTech and its affiliates, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your: (a) misuse of the Site or Services; (b) Client Materials; or (c) breach of these Terms or applicable law.
16) Term & Termination
- Either party may terminate a Services engagement for material breach if not cured within [e.g., 14] days of written notice.
- You may terminate for convenience with written notice; any amounts due for Services performed up to termination remain payable.
- Upon termination, your rights to use deliverables subject to unpaid fees may be suspended, and hosting may be deactivated following reasonable notice.
17) Governing Law & Venue
These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict of laws principles. Courts located in Amman, Jordan shall have exclusive jurisdiction.
18) Notices
Notices to QTech must be sent to info@qtechnetworks.com and are deemed given when received. We may send notices to the email associated with your account or provided in an SOW.
19) Miscellaneous
- Assignment: You may not assign your rights or obligations without our prior written consent.
- Force Majeure: Neither party is liable for delays due to causes beyond reasonable control.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- No Waiver: Failure to enforce a provision is not a waiver of that provision.
- Entire Agreement: These Terms together with applicable SOWs constitute the entire agreement regarding the Services.
