By accessing or using the Site or services, you agree to be bound by these Terms.<\/span><\/p><p><span style=\"color: #333333;\"><strong>2) Definitions<\/strong><\/span><\/p><p><span style=\"color: #333333;\"><strong>\u201cServices\u201d<\/strong>\u00a0means professional and managed services we provide (e.g., web\/app development, hosting, digital strategy).\u00a0<strong>\u201cSOW\u201d<\/strong>\u00a0means a statement of work, order form, or proposal executed by both parties describing specific Services, deliverables, fees, and timelines.<\/span><\/p><p><span style=\"color: #333333;\"><strong>3) Changes to Terms<\/strong><\/span><\/p><p><span style=\"color: #333333;\">We may update these Terms from time to time. The \u201cEffective date\u201d above reflects the latest version. Continued use of the Site or Services after changes means you accept the updated Terms.<\/span><\/p><p><span style=\"color: #333333;\"><strong>4) Eligibility &amp; Accounts<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">You must be at least the age of majority in your jurisdiction to use the Site.<\/span><\/li><li><span style=\"color: #333333;\">You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.<\/span><\/li><li><span style=\"color: #333333;\">Provide accurate, current, and complete information and update it as necessary.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>5) Services; Orders &amp; SOWs<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">Services are described in the applicable SOW, proposal, or order form. If there is a conflict, the SOW controls.<\/span><\/li><li><span style=\"color: #333333;\">Estimates are based on information available at the time; changes in scope may require change orders and adjusted fees\/timelines.<\/span><\/li><li><span style=\"color: #333333;\">Unless otherwise stated, delivery timelines are indicative and not guaranteed.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>6) Fees, Payments &amp; Taxes<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">Fees will be as stated in the applicable SOW or invoice. Prices are exclusive of taxes, duties, and government charges.<\/span><\/li><li><span style=\"color: #333333;\">Invoices are payable within\u00a0<strong>7<\/strong>\u00a0days of invoice date unless otherwise agreed.<\/span><\/li><li><span style=\"color: #333333;\">We may suspend Services for non\u2011payment after reasonable notice.<\/span><\/li><li><span style=\"color: #333333;\">Currency:\u00a0<strong>Jordanian Dinar (JOD)<\/strong>\u00a0unless specified otherwise.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>7) Deliverables &amp; Intellectual Property<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">Upon full and final payment, and unless stated otherwise in the SOW, QTech grants you a non\u2011exclusive, worldwide, perpetual license to use the deliverables for your internal business purposes.<\/span><\/li><li><span style=\"color: #333333;\">QTech retains ownership of its pre\u2011existing materials, know\u2011how, tools, and reusable components (including templates and libraries). We may re\u2011use generalized learnings and non\u2011confidential know\u2011how.<\/span><\/li><li><span style=\"color: #333333;\">Open\u2011source and third\u2011party components remain subject to their respective licenses.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>8) Client Materials &amp; Responsibilities<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">You will provide timely access to information, approvals, and materials needed to deliver the Services.<\/span><\/li><li><span style=\"color: #333333;\">You represent that you have the necessary rights to all Client Materials you provide and that they do not infringe any rights or violate laws.<\/span><\/li><li><span style=\"color: #333333;\">You are responsible for legal review of content that you ask us to publish or host.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>9) Acceptable Use (Hosting\/Infrastructure)<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">No illegal content, malware, spam, abusive traffic, or activities that could disrupt networks\/services.<\/span><\/li><li><span style=\"color: #333333;\">No attempts to gain unauthorized access to systems or data.<\/span><\/li><li><span style=\"color: #333333;\">Resource limits (bandwidth, storage, compute) may apply as per your hosting plan or SOW.<\/span><\/li><li><span style=\"color: #333333;\">We may remove or disable content or suspend Services if we reasonably believe these Terms are violated.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>10) Service Levels, Maintenance &amp; Third Parties<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">Unless specified in an SOW, Services are provided without uptime guarantees.<\/span><\/li><li><span style=\"color: #333333;\">We may perform planned maintenance and emergency work; reasonable efforts will be made to minimize disruption.<\/span><\/li><li><span style=\"color: #333333;\">Some Services rely on third\u2011party providers (e.g., cloud, domain registrars, payment processors). Their terms may apply in addition to ours.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>11) Confidentiality &amp; Publicity<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">Each party agrees to protect the other\u2019s confidential information and use it only for the purpose of performing the agreement.<\/span><\/li><li><span style=\"color: #333333;\">Unless otherwise agreed, QTech may identify you as a client and display non\u2011sensitive project information (e.g., name, logo, general description) in portfolios and case studies.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>12) Data Protection<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">Our\u00a0<u>Privacy Policy<\/u>\u00a0explains how we handle personal data.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>13) Warranties &amp; Disclaimers<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">Each party represents it has the authority to enter into the agreement.<\/span><\/li><li><span style=\"color: #333333;\">EXCEPT AS EXPRESSLY PROVIDED IN AN SOW, THE SITE AND SERVICES ARE PROVIDED \u201cAS IS\u201d AND \u201cAS AVAILABLE,\u201d WITHOUT WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON\u2011INFRINGEMENT.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>14) Limitation of Liability<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">TO THE MAXIMUM EXTENT PERMITTED BY LAW, QTECH IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS\/REVENUE\/GOODWILL.<\/span><\/li><li><span style=\"color: #333333;\">QTECH\u2019S TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO QTECH FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT.<\/span><\/li><li><span style=\"color: #333333;\">Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited by law.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>15) Indemnification<\/strong><\/span><\/p><p><span style=\"color: #333333;\">You agree to defend, indemnify, and hold harmless QTech and its affiliates, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys\u2019 fees) arising from your: (a) misuse of the Site or Services; (b) Client Materials; or (c) breach of these Terms or applicable law.<\/span><\/p><p><span style=\"color: #333333;\"><strong>16) Term &amp; Termination<\/strong><\/span><\/p><ul><li><span style=\"color: #333333;\">Either party may terminate a Services engagement for material breach if not cured within\u00a0<strong>[e.g., 14]<\/strong>\u00a0days of written notice.<\/span><\/li><li><span style=\"color: #333333;\">You may terminate for convenience with written notice; any amounts due for Services performed up to termination remain payable.<\/span><\/li><li><span style=\"color: #333333;\">Upon termination, your rights to use deliverables subject to unpaid fees may be suspended, and hosting may be deactivated following reasonable notice.<\/span><\/li><\/ul><p><span style=\"color: #333333;\"><strong>17) Governing Law &amp; Venue<\/strong><\/span><\/p><p><span style=\"color: #333333;\">These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict of laws principles. Courts located in Amman, Jordan shall have exclusive jurisdiction.<\/span><\/p><p><span style=\"color: #333333;\"><strong>18) Notices<\/strong><\/span><\/p><p><span style=\"color: #333333;\">Notices to QTech must be sent to\u00a0<a style=\"color: #333333;\" href=\"mailto:info@qtechnetworks.com\">info@qtechnetworks.com <\/a>and are deemed given when received.
